Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of SnapSign's e-signature platform and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

2. Eligibility

You must be at least 16 years old to use our Services. By using our Services, you represent and warrant that:

  • You are at least 16 years old
  • You have the legal capacity to enter into binding contracts
  • You will comply with these Terms and all applicable laws
  • If you're using our Services on behalf of an organization, you have the authority to bind that organization to these Terms

3. Your Account

To use certain features of our Services, you may need to create an account. When you create an account, you agree to:

  • Provide accurate and complete information
  • Keep your password secure and confidential
  • Not share your account with anyone else
  • Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate your account if any information you provide is inaccurate or if you violate these Terms.

4. Electronic Signatures and Documents

Our Services allow you to electronically sign and send documents. By using our Services, you agree that:

  • Electronic signatures created using our Services are legally binding, as permitted by applicable electronic signature laws
  • You have the authority to sign documents you access through our Services
  • You are responsible for ensuring the accuracy and legality of documents you create, upload, or sign
  • We are not responsible for the content of documents you create, upload, or sign

5. Subscription and Payments

We offer various subscription plans with different features and pricing. By subscribing to a paid plan:

  • You agree to pay all fees associated with your subscription plan
  • You authorize us to charge your payment method for the subscription fees
  • Subscription fees are non-refundable except as required by law or as expressly stated in these Terms
  • We may change our fees at any time, but will provide advance notice of any fee changes

6. Acceptable Use

You agree not to use our Services to:

  • Violate any laws or regulations
  • Infringe on the rights of others, including intellectual property rights
  • Upload or distribute malicious code or content
  • Interfere with or disrupt our Services
  • Engage in fraudulent activity or misrepresentation
  • Collect or harvest information about other users without their consent
  • Send unsolicited messages or communications

We reserve the right to investigate and take appropriate action against violations of these Terms, including suspending or terminating your account.

7. Intellectual Property

Our Services, including all content, features, and functionality, are owned by SnapSign and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services for their intended purposes. You may not:

  • Copy, modify, or create derivative works of our Services
  • Reverse engineer, decompile, or attempt to extract the source code of our Services
  • Remove any copyright, trademark, or other proprietary notices
  • Use our trademarks, logos, or branding without our express permission

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SNAPSIGN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO SNAPSIGN FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless SnapSign, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms
  • Your use of our Services
  • Your violation of any laws or the rights of a third party
  • Any content you upload or share through our Services

11. Termination

We may suspend or terminate your access to our Services at any time for any reason without notice or liability, including if you violate these Terms.

You may terminate your account at any time by following the instructions on our website. Upon termination:

  • Your right to use our Services will immediately cease
  • We may delete your account and associated data
  • Any provisions that should survive termination will continue to apply

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a new effective date.

Your continued use of our Services after the effective date of the updated Terms constitutes your acceptance of the changes.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising out of or related to these Terms or our Services shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

15. General Provisions

These Terms constitute the entire agreement between you and SnapSign regarding our Services. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of SnapSign.
